X-bit labs - A Secret Disclosed: AMD Sempron 3000+ for Socket 939 Review
A possible release of Sempron processors in the Socket 939 form-factor was rumored since the very moment when AMD decided to transfer its value processor series to the progressive K8 architecture.
Following this transition, the Socket 939 platform will move down from the high-performance class into the entry-level sector, filling in the niche that is currently occupied by Socket 754.
About 10% of all Semprons based on the K8 architecture were made in Socket 939 packaging in the first half of 2005 to meet the demand of leading PC suppliers and this percentage has grown up more by today, of course.

 Socket 940 vs. 939 - Review - Short-Media
There is a cost of manufacturing advantage for motherboard makers to move to Socket 939 which uses a 4 layer PCB motherboard instead of the more expensive 6 layer motherboards for Socket 940.
This was not the driving influence for AMD to pursue Socket 939.
Socket 940 and 939 both have 128-bit wide dual channel integrated memory controllers while Socket 754 is only single channel and 64-bits wide.

In addition to a new core, the 939 was introduced to pave the way for pci express.
On the socket 939, you get dual channel memory, and the peace of mind of knowing this socket has a future (Dual cores) :P Otherwise, its the same thing as the 754 chip (core differences excluded).
One advantage that 939 has over 754 is that it has longer Roadmap while the 754 is pretty at its end of life.

Although little difference can be seen between the 940 and 939 cpu and socket, the major difference is the ability for the 939 to use non-ecc, non-registered RAM, as well as the addition of a second memory channel controller for a consumer 32bit chip.

Despite relatively minor performance benefits, dual channel memory has been a buzz word since it was introduced with the nForce 2 on the Socket A side and consumers have come to expect it.
Today Socket 939 is indeed the mainstream Athlon 64 socket and it supports dual-channel DDR with non-registered DIMM modules.

i would definetely go for the 939 basically for upgrading in the future and the inclusion of dual channel memory which the 754 does not have.
If you plan on overclocking, go with 939, as you can easily overclock the 3200+ 939 90nm past the speed of a 754 3400+ 130nm even with cheap ram like mine for $45 less and the ability to upgrade at least to the 4000+ down the line.
