Under its first point of error, Astra Oil contends that at "the heart of this appeal is the issue of indemnity and whether [Astra Oil] is entitled to indemnity from [Diamond Shamrock]." Two types of indemnity have historically existed: common- law indemnity and contractual indemnity.
Astra Oil, in its brief, argues that it is entitled to contractual indemnity and to common-law indemnity under a vicarious liability theory.
Astra Oil claims that the trial court should not have decided the indemnity issue because that was an issue to be decided in arbitration pursuant to the arbitration provision in the contract between Astra Oil and Diamond Shamrock.

However Astra's own technical data clearly show that the transmitters on the 2D satellite reach well into continental Europe, meaning the unscrambled signal could be easily picked up.
