Baker Hughes' CFO and Controller knew or were aware of a high probability that KPMG intended to use $75,000 of the $143,000 to pay the Indonesian government tax official who was conducting PTEC's tax audit.
Further, Baker Hughes' CFO and Controller knew that the $75,000 payment to the Indonesian tax official was to be made to obtain a reduction in its tax assessment from $3.2 million to approximately $270,000.

The Baker Hughes and Syufy panels may have been correct in their application of the doctrine on the facts as they found them, for both appear to have concluded that the entry possibilities were uncommitted, contrary to what the government argued.
In both Baker Hughes and Syufy, the Justice Department accepted the legal proposition that entry could trump a prima facie case, but attempted to demonstrate that whatever entry there might be would not, or did not, cure the competitive problem.
The appellate decisions in Baker Hughes and Syufy may create a loophole in merger enforcement to the extent their language encourages courts to overestimate the ability of committed entrants to cure competitive problems from merger.

It's dense with facts, not easily readable and many of the allegations about the Bush families' very close associate James A Baker III being tied to Howard Hughes and Enron seemed far-fetched - until I did a few searches of the Baker Hughes corporate website.
I also did a search for connections between James A Baker III who was former President Bush's top advisor and who played such a key role in Bush Jr.
It would seem that Bush, Cheney, Powell and many of the previous and current Bush administration's top members are intimately linked to Enron/Baker Hughes and that their link goes very far beyond receiving campaign donations.
