In the present case, they continued, after the Bendix takeover, to receive supervision from the same principal authority figure--Deibert--with whom they were used to dealing on a regular basis even when Vanguard was the ``employer.'' Deibert testified that the method of assigning the drivers is the same now as it was prior to May 1.
Bendix Transportation Management Corporation denies that it is a joint employer, or to use your phrase a co-employer, of Local 429 members.
For these reasons, Bendix' position is that it has no duty to bargain with IBT Local 429 absent certification of Local 429 as the exclusive bargaining representative of Bendix' employees.

Bendix was founded by inventor entrepreneur Vincent Bendix (1882-1945), whose venture, the Bendix Motor Buggy, had led him into bankruptcy in the early 1900s.
The remnants of Bendix Radio (later called The Bendix Corp.) were purchased by the Allied Corp. (later known as AlliedSignal and then as Honeywell after a merger).
Though Bendix is gone, the foundation's board members are determined that it not be forgotten, and they are hoping there are still lots of former Bendix employees out there with stories to tell and testimonials to give.

Bendix is a Delaware corporation with its principal place of business in Ohio; Midwesco is an Illinois corporation with its principal place of business in Illinois.
When Midwesco asserted the Ohio statute of limitations as a defense, Bendix responded that the statutory period had not elapsed because under Ohio law running of the time is suspended, or tolled, for claims against entities that are not within the State and have not designated an agent for service of process.
Dynamics Corp. of America, 481 U.S. The suggestion that Midwesco had the simple alternatives of designating an agent for service of process in its contract with Bendix or tendering an agency appointment to the Ohio Secretary of State is not persuasive.

Allied said the provision should be terminated because Bendix and Allied no longer manufacture or sell any kind of machine tool product referred to in the order.

In the end, the intervention of Allied Corp. did disentangle the mess a bit, but for Bendix and Marietta the end of the match marked a pyrrhic victory at best.
Agee's Bendix had become somebody else's property, and Marietta had lost a month's time and resources while surrendering much of its stock to third parties.
More practically, the unseemly Bendix affair should provoke a little reassessment on the part of American industry, a realization that "mass merger" is equivalent to corporate suicide Last month's theatrics show that today's mergers often have nothing to do with efficiency and productivity.

Bendix's Michigan business presence and investment activities cannot be segregated from its New York City presence and activities to insulate Bendix from the City's tax on its ASARCO investment income.
Thus, Bendix (or one of its many unitary enterprises) could be taxed on the ASARCO dividends and capital gains in every taxing jurisdiction in which Bendix (or one of its unitary enterprises) and ASARCO (or one of its unitary enterprises) are both present regardless of the nature of the entities' activities in that jurisdiction.

Taxation of investment income received from a nondomiciliary taxpayer's investment in another corporation requires only that the investment income be sufficiently related to the taxpayer's in state business, not that the taxpayer's business and the corporation in which it invests be unitary.
