Boral was forced to issue a statement after the Australian Stock Exchange asked the company to explain why its share price had soared from $7.70 on Monday to $8.18 on Wednesday.
Boral said the spike in its share price was due to market rumours but it had not received any takeover offers from either Cemex or a private equity group.

Boral's $870 million takeover of cement company Adelaide Brighton could be effectively defeated by protracted legal action brought by the nation's competition watchdog, the Federal Court was told yesterday.
Alan Archibald, QC, appearing for Boral, said that the company would "move heaven and earth" to have the matter heard quickly - and before Boral's $1.60-a-share offer expires next January - and told the court that it was incumbent on the Australian Competition and Consumer Commission to do the same.
The legal move came after Boral decided to ignore the opposition of the competition regulator and to backtrack on an undertaking it had given to abandon the bid.
