TAUNTON - The best-laid plans for a bank merger between Bristol County Savings Bank and Randolph Savings Bank were dashed last week as corporators of the out-of-town bank failed to come out of a special meeting with a required two-thirds majority in favor of the move.
Bristol County Savings bank is the larger of the two mutual savings banks, with assets of $1.05 billion and $155 million in capital.
Bristol County Savings Bank was founded in 1846 and has nine banking and mortgage loan branch offices - two each in Taunton and Raynham and one each in Rehoboth, Attleboro, North Attleboro, Franklin and Pawtucket, with a 10th scheduled to open in Dartmouth in December.

TAUNTON — A lone bandit threatened to kill a teller Wednesday during a robbery of the Bristol County Savings Bank at 851 County St., police said.
The suspect is described as a white male, approximately 5-feet 8-inches tall, about 160 pounds, with a husky build and sparse moustache with goatee and wearing a gray hooded sweatshirt, flannel multi-colored sweat pants and blue ball cap with the Adidas logo.

Within the governance structure of a mutual savings bank, as well as a mutual holding company, the final decision rests with the board of corporators, which includes the members of the board of directors/trustees but also a substantial number of depositors who are not otherwise affiliated with the bank.
In the case of a stand-alone mutual cooperative bank, there is no additional voting body analogous to the board of corporators and the deciding vote on a merger is cast directly by the depositors.
As our region's crowded field of mutual banks enters a period of accelerating consolidation, it would be a mistake for management of other mutuals to look at the corporators' action at Randolph Savings as an aberration that warrants no further consideration.
