  A THREE-WAY DEAL FOR CONRAIL-CSX-NORFOLK?
Conrail Inc. narrowly lost a shareholder vote on Jan. 17 that it needed to move ahead with its planned sale to CSX Corp., but the fight now may move from the boardroom to the bargaining table.
While Conrail is vowing to try for a second shareholder vote, both its officials and those of hostile bidder Norfolk Southern are hinting that they may be willing to cut a deal in three-way talks.
So, unless the Conrail board decides simply to hang tough or it comes up with a way to prevail in a second shareholder vote, the most likely outcome of this railroad war now appears to be a negotiated settlement.

Conrail (or any monopoly-serving railroad) would be expected to exercise market power and extract monopoly rents if it were able to do so.
Similarly, Kodak objects to the assignment of its Conrail contracts since the non-assignment clause in those contracts was intended by Kodak to short-circuit just such a forced assignment, and since it could as easily deal with either CSX or NS, both of which will serve its plant post-transaction.

 Economic Viability of Conrail
Its principal findings are that Conrail appears to be a viable independent enterprise over the next decade under a broad range of conditions in both the economy in general and the railroad industry in particular, and that the value of the government's current holdings could range from $1.1 billion to $5.6 billion.
Conrail is assumed to be a competitive price-taker on a systemwide basis--that is, it is too constrained by competition to raise its prices for reasons other than higher costs (which, presumably, affect other railroads and modes of transportation as well).
Conrail, in both the base and low cases, would have sufficient cash to meet all of its obligations over the 10-year forecast period.

The base of Norfolk Southern and Conrail operations in Kalamazoo is Botsford Yard, along the Kalamazoo River east of downtown on the Michigan Central mainline.

Um...no. Conrail is a former class 1 that got very succesful but ultimately got taken over by the bigger railroads in the continuing trend to have as few large systems as possible.
The reason Conrail still remains is because there is now a lot of shared trackage that CSX and NS must use, and Conrail takes care of this and other lines that aren't part of the larger systems.
Conrail uses engines from NS or CSX that still have their markings, thats about all.

Conrail Circus-500, the Ringling Bros. Circus Train, was the last Conrail train to run on the ex-Pennsy mainline east of Fort Wayne.
Conrail "Circus Train 500" was the last Conrail train to use the Fort Wayne to Crestline main.
