The Chicago Board Options Exchange (CBOE), located at 400 South LaSalle Street in Chicago, is one of the world's largest options exchanges with an annual trade of over 15 billion shares of stock options in more than 1200 companies, 50 stock indexes, and 50 exchange-traded funds (ETFs)
The CBOE is regulated by the Securities and Exchange Commission (SEC) and its options contracts are cleared by the Options Clearing Corporation (OCC).
The CBOE calculates and disseminates the CBOE Volatility Index (VIX), the CBOE SandP 500 BuyWrite Index (BXM), and other indexes.

To the extent CBOE's surveillance of the matching algorithm ensures that members do not abuse Rule 43.1 in a manner that is inconsistent with Section 11(a) of the Exchange Act, the staff believes that both the requirement for non-participation in order execution and the requirement for execution through an unaffiliated member will be satisfied.
The Exchange notes that the priority rule for CBOEdirect (Rule 43.1) cannot be utilized by Exchange members in a manner that is inconsistent with the objectives of Section 11(a).
First, CBOE trading committees commonly consist of twenty or more members who conduct business on different parts of the trading floor (sometimes off of the trading floor) and it would be extremely impracticable to convene a meeting during business hours for any purpose, let alone to effect a change to CBOE's priority algorithms.

CBOE previously commented on this controversial proposal in a letter dated February 14, 2003, from the undersigned, to the Secretary of the Securities and Exchange Commission ("Commission").
CBOE believes it would be unwise to allow the PIP to proceed (even as a pilot-program) before the Commission follows through on its previously stated intention to issue a concept release on the effects of internalization and payment for order flow in the options markets.
CBOE and other exchanges have no Commission-approved method to plan for additional capacity needs that likely will result from the competitive initiatives that will be proposed in response to the PIP, which may include converting to penny and/or sub-penny quoting and trading.

Duffy’s activities, prompting CBOE to suspend him as chairman of the Floor Directors Committee and hire New York law firm Davis Polk & Wardwell to investigate.
In their letter, exchange directors said his decision to run caused the board to convene a special meeting Nov. 26 to consider his status.
