  BYLAW ON OFFICERS OF OPEN JOINT STOCK COMPANY
Company officers shall be elected or appointed to their office pursuant to the procedure established by relevant Company Bylaws, which govern the activities of respective governance body of the Company.
Company officers, who are not transferred from their previous position as a result of election (appointment) to the governance bodies, if they can perform their functions during their working time, shall be guaranteed their position and average salary for the time that they serve as officers.
The Company shall be entitled to demand from its officers the reimbursement of losses, including unearned profits, incurred by the Company as a result of non-fulfillment or improper fulfillment of functions by the officers pursuant to the procedure and in the amount established by current legislation of Ukraine.
