The Association of the Bar of the City of New York
The transfer of a controlling interest in an entity owning a leasehold is considered a taxable event irrespective of the remaining term of the lease, a factor usually applied in applying the RETT to leasehold grants.
The transfer of a controlling interest in a contract vendee or in the holder of a foreclosure bid are considered taxable, as is the gift transfer of a controlling interest to the extent of outstanding mortgage indebtedness apportioned to the interest being transferred.
Interests that are not exempt will be subject to tax even if they represent less than 50% of the capital, profits or other beneficial interests in the entity owning the interest in real property if the total of the interests being transferred, without consideration of the no change exemption, is 50% or more.

Revising GAAP for consolidations: join the debate. (generally accepted accounting principles)
Although controlling financial interest is not defined, the implication in paragraph 1 is that the primary consolidation criterion is control.
Control, as the term is used in the DM, is the power of one entity to direct or cause the direction of the management and operating and financing policies of another entity.
Non-controlling interest is not part of consolidated stockholders' equity because the non-controlling investors in a subsidiary do not have an ownership interest in the subsidiary's parent.

Controlling interest - Wikipedia, the free encyclopedia
In theory this normally means that controlling interest would be 50% of the voting shares plus one.
In practice, though, controlling interest can be far less than that, as it is rare that 100% of a company's voting shareholders actively vote.
Ford Motor Company's ownership of 33.4% of Mazda is an example of a controlling interest with minority shareholding.

While advocates of usury ceilings claim that such controls protect consumers from abusive lending practices and enable them to obtain loans at reasonable rates, their critics argue that they work to consumers' disadvantage by restricting credit flows and distorting financial markets.
But, establishing a lower-than-market interest rate by means of a usury ceiling will also bring about a decrease in the quantity of credit supplied.
While these lending practices and their undesirable consequences may exist in the absence of interest rate ceilings, several studies on the effects of usury ceilings have established that loan terms do become less favorable to borrowers when usury ceilings become more restrictive.

 Part II Minority Interest
Having arrived at the value of a 100% controlling interest, (sometimes referred to as base or “enterprise” value), the value of a fractional interest is examined, which may or may not possess control.
Residual interest holder rights may be disposed of by use of a buy-sell agreement with a fair market value purchase price and/or a beneficiary designation contained in the originally agreement.
As the combined fractional interests held are different than a 100% direct ownership of an underlying asset, some consideration must be given that the aggregate pro rata shares held are not equal to the value of the net underlying asset.

The Controlling Interest Bill, which is substantially similar to several proposals introduced in the House in prior years (none of which passed the Senate), is intended to close the perceived loophole.
The Controlling Interest Bill imposes transfer and recordation taxes on the transfer of a “controlling interest” in a “real property entity” as if the real property owned by that entity were itself transferred.
The Controlling Interest Bill exempts certain transfers from the transfer and recordation tax, including multiple transfers of a controlling interest if the entire transfer is completed over a period of more than 12 months or the entire transfer is not made in accordance with a plan of transfer, and certain transfers among affiliated entities.

 Controlling Interest - Kommersant Moscow
It is very difficult for a Russian banker to imagine that he, like bankers in the West, could control a bank by owning 10% of its shares and thus by being its main shareholder.
It is sufficient to remember some of the more famous incidents involving the distribution of shares in Russian banks to understand that our bankers immediately try to sell a controlling interest.
After all, however, it is precisely a large number of minority shareholders that can significantly increase a bank’s transparency, a serious plus in the eyes of foreign investors that can push up the price of the bank’s shares.
