Power And Accountability - Chapter 7   (Site not responding. Last check: 2007-09-17)
As traditional corporation law at the state level deteriorates into a kind of manual for management entrenchment, a new, possibly helpful trend can be detected in the emergence of a federal law of ownership, one that is set by regulation.
More active stockholder participation might force greater corporate compliance with the law in some areas, although, as we have pointed out, their primary concern is often corporate stock growth and dividends....
Any doubt as to the legality of corporations acting collectively with respect to their ownership responsibilities for securities held in their employee benefit plans was dispelled by the ruling of (then) Assistant Attorney General Charles Rule to ISS in August 1987.

 Wall Street Raider Strategy Manual
In Wall Street Raider, this means that the stockholders and junk bond holders have to write off part or all of their stock or what the company owes them, and the bank also writes off a (smaller) percentage of what the bankrupt company owed the bank.
CONTROLLED CORPORATION--In Wall Street Raider, a corporation that is at least 20% owned by a player (and by companies he or she controls), or by a single corporation, is considered to be under the control of its largest shareholder (and of whomever might also control that shareholder company, if anyone).
Corporate loans and loans to players earn interest rates based on the banks' Prime Rate, which is the lowest rate charged, to AAA credit-rated borrowers (and, in Wall Street Raider, to nearly bankrupt, D-rated borrowers, in the forlorn hope that this might help them recover and somehow pay off their debts).

 Hawaii Reporter: Hawaii Reporter
To do this in the 1980s, a corporate raider, with the help of the unfairly reviled investment banker Michael Milken, utilized his own smaller firm in issuing high-risk, high-yield bonds (called "junk bonds"), with which he raised enough funds to purchase a large stake in the corporation he wanted to gain control of.
Once the raider gains enough power in the poorly-performing company, he will often either the liquidate it to spare the stockholders from even greater losses in the future, or he will implement changes in the management in order to turn the company around and save it -- and this usually involves terminating many top managers.
Raiders famous for partaking in the latter activity are also called "turnaround artists," because they choose to improve the company's financial status, thereby making the company's shares -- and therefore the shares that they themselves own -- increase in value.

Corporate raid - Wikipedia, the free encyclopedia
Corporate raids became the hallmark of a handful of investors in the 1970s and 80s who built up large lines of credit and were able to purchase huge companies for little or no cash, often through the issuance of junk bonds.
These corporate raiders gained a reputation for destroying a number of well-run companies, although this may be somewhat overstating the issue.
Proponents of the corporate raid argue that companies which have huge assets and low stock prices are not managing their money well and should either attempt to regain market confidence (thereby boosting their share prices) or else liquidate some of their assets and return the money to their shareholders.

Then came the dark years of the late 1990s -- his abusive relationship with the faded-luster franchise of Revlon; the bankruptcy of Marvel Entertainment, which wiped out a stake once worth $2.1 billion; a divorce (his third); and an ill-fated deal with Sunbeam that turned a $680 million investment into nothing.
Marvel filed for bankruptcy court protection, Icahn installed himself as chairman, and Perelman was forced out, his equity wiped out by the bonds he had issued.
