Furthermore, when the Parc Downsview Park Inc. decided to sell a portion of surplus properties to a private sector company, contrary to normal practice, the proceeds of the transaction were not deposited in the Consolidated Revenue Fund (CRF), instead they were spent on the development and operational activities of the urban park.
The Auditor General suggested that one possible way of resolving Parc Downsview Park’s Inc. current financial and operational problems is to seek parliamentary approval to convert the Downsview Park corporation from a subsidiary Crown corporation into a parent Crown corporation, with a suitable mandate from Parliament and appropriate means of funding.
Although Parc Downsview Park Inc. was established according to all applicable rules and regulations, its creation, by Order-in-Council, as a subsidiary Crown corporation to manage the urban park was a move that effectively excluded Parliament from the decision-making process.

2002 Opening Statement to the Committee on Public Accounts - 2001 Report of the Auditor General of Canada (Chapter 13)
Downsview Park, however, was set up as a subsidiary of Canada Lands Company Limited by an order-in-council; as a consequence, its mandate was not presented to Parliament for review and approval.
Until now, Downsview Park has financed its operations through the sale and leasing of land to third parties and with funding from the current owner of the property, the Department of National Defence.
We believe that a possible way to resolve the issues and remedy Downsview Park's current financing and operational problems is to seek parliamentary approval to make the Downsview Park corporation a parent Crown corporation, with a suitable mandate from Parliament and appropriate means of funding.

Supreme Court of Canada - Decisions - Tanenbaum v. Sears
Sears continued to be a director of Downsview in his nominee capacity until July 6, 1964 (which was after action brought) when Keele sold its shares to Pinetree Investments Ltd., a company in which Tanenbaum and members of his family had interests.
The evidence by Sears also reveals that he never proposed any resolution to have Downsview assume the commitment set out in cl. 17(b), and that there is no minute or any other record of his real estate firm and no auditors’ report or statement that indicates any contingent liability of Downsview to that firm.
First, it stated in its reasons that specific performance would not be ordered where the effect would be to cause a third person to discharge an obligation under an agreement to which it was not a party, especially where that obligation was not one assumed by the third party.
