In terms of the card Paths of the Dead, to gain the special movement one has to be moving from Dunharrow to Vale of Erech with a company containing Aragorn.
As far as I'm aware the second sentence, although separate, regarding the ability to only play Undead on the company, also only refers to a company only moving from Dunharrow to Vale of Erech.
Other interpretations on this just seem to be picking up on loopholes because of the way the card's worded in two sentences.
