The preferred stock would include the requirement that Entravision obtain its consent before buying or selling assets valued at more than $25 million, incurring debts in excess of 5 times Ebitda, issuing additional shares that would dilute Univision's stake or accepting an acquisition offer, Univision told the FCC.
This puts little pressure on the antitrust division to settle for less because it knows that divestiture of the Entravision stake would cure the competitive problems with the deal.
Because of the Entravision clause, there is no doubt that the deal eventually will get done because the other antitrust issue in this case was resolved in Univision's favor.
