Exxon Mobil Corporation v. County of Santa Barbara
Exxon claimed that the LFC was an integrated, component part of the SYU and that the LFC and SYU should be appraised as a single unit.
In the alternative, Exxon argued that if cost of construction was used to determine fair market value, more than $500 million in deductions should be made for economic obsolescence based on the decline in oil prices and the cost of abandoning the LFC pursuant to the conditions in its county permit.
Although Exxon and the assessor agreed that the historical cost of the LFC was $570 million, the assessor made no deductions for economic obsolescence.

Exxon Mobil Lawsuit Attorney | Lawyer Exxon Mobil Corporation Under Fire for Cheating Mobil Stockholders in Merger
Several class actions have been filed against petrochemical giant Exxon Mobil Corporation (NYSE:XOM) and certain of its officers and directors by stockholders who purchased, owned, or otherwise acquired Mobil shares and whose Mobil shares were exchanged for Exxon Mobil common stock as a result of the merger transaction approved by shareholders on May 27, 1999.
The action alleges that the representations made to the SEC were materially false and misleading because they failed to disclose a material impairment of Exxon's oil and gas reserves for 1998 and earlier, and consequently, its future cash flows related to proved oil and gas reserves-- a key indicator of future operating performance.
This material omission enabled Exxon to acquire Mobil for an artificially low number of shares by the new Exxon Mobil Corporation because it inflated Exxon Corporation's true asset base and future cash flows, inflating Exxon Corporation's contribution to the merged company.

Following Exxon's merger with Mobil in 1999, Exxon allegedly demanded that many of its employees relocate more than 50 miles from their previous employment location.
