2 No. 7: Aspro Mechanical Contracting, Inc., et al. v. Fleet Bank, N.A.
Fleet moved to dismiss the special proceeding, arguing that its status in the transaction was solely that of a lender-mortgagee and not a trustee subject to article 3-A of the Lien Law.
Fleet therefore owed the beneficiaries a duty of loyalty and was required "to administer the trust solely in the interest of the beneficiaries" (IIA Fratcher, Scott on Trusts, at § 170 [4th ed]; Rest.
Fleet asserts that the inclusion of the reference to the assignment in its mortgages was the equivalent of record notice to potential claimants of Fleet's priority interest in the trust assets.

Fleet National Bank v. Narco Finishing
Fleet then did nothing to execute on its judgment, and Narco, the landlord of Oriental, evicted Oriental from its premises on or about September 17, 1999.
When asked by this Court whether or not Fleet wanted to take possession of the remaining property, he indicated "not at this time." The plaintiff's claim, therefore, boils down to a claim for the $6,350.00 being the proceeds of that part of the personal property sold by Narco.
Fleet relies on Connecticut General Statutes ยง52-355a entitled "Judgment Lien on Personal Property." Under subsection (a) Fleet has authority to file its judgment lien certificate in the Office of the Secretary of the State which it did as aforementioned.

Considering Fleet and Haenn's statement of material facts in the light most favorable to the Dumonts, there is no genuine issue of material facts as to whether there was an abuse of process in obtaining the deficiency judgment.
In addition, the court found that no independent appraisal had been obtained by Fleet and that "Fleet's estimate of the value was effectively a penalty imposed on the [Dumonts] for refusing to vacate the premises.

Aspro Mech. Contr. v Fleet Bank (2004 NYSlipOp 00690)
On Fleet's appeal, the Appellate Division affirmed, holding that Fleet's repayment to itself of the loans made to Berry Street was a diversion of trust assets.
Fleet now argues that its self-payment—at a time when it contended that the funds were not trust assets—was nevertheless permissible because it used the money to pay its properly recorded secured loans, which were superior to plaintiffs' claims pursuant to the Lien Law's statutory priority provisions.
Fleet therefore owed the beneficiaries a duty of loyalty and was required "to administer the trust solely in the interest of the beneficiaries" (2A Fratcher, Scott on Trusts, at § 170 [4th ed]; Restatement [Third] of Trusts § 170 [1]).

Fleet agreed to the release in exchange for a first mortgage on the Tripletts' car dealership that had recently been appraised at a value of $1.1 million.
He argues that he acquired the status of a surety when he subordinated his mortgage on the dealership to Fleet's first mortgage, and that Fleet therefore had a duty to disclose to him information regarding the nature of the risk he was assuming.
Capul's subordination agreement with the Tripletts merely changed his priority; he did not promise Fleet that Fleet could pursue him if the Tripletts failed to fulfill their obligation to the bank and did not undertake to pledge his property as a guarantee for the Tripletts' debt.

Fleet's lawyer, Burt M. Rublin of Philadelphia-based Ballard Spahr Andrews and Ingersoll, argued that the TILA should not be read as a consumer protection statute, but rather as a disclosure law.
Second, she argued that whether or not Fleet was required to disclose future fees, its disclosures failed to meet the requirements of the TILA because they misleadingly suggested there never would be an annual fee.
Finally, she claimed that Fleet used the disclosures as part of a bait-and-switch scheme by which it attracted business with the offer of a no-annual-fee card, even though it intended to charge an annual fee on the card soon thereafter.
