FirstGroup is discussing a takeover bid of at least £22m for fellow train operator GB Railways, which would allow it back into the keenly fought contest for a new rail franchise covering the whole of East Anglia.
However, an industry source suggested that the authority may insist that GB Railways remains a separately managed subsidiary, with "Chinese walls" between the business and the rest of FirstGroup.
It also has a small freight operation, GB Railfreight, and runs an award-winning passenger rail service between Hull and the capital.

The famous "night mail" will be back on the railways this Christmas after a climbdown by Royal Mail, which caused fury last year by announcing it would stop using rail freight.
In a deal that has delighted trade unions and environmentalists, Royal Mail has signed a trial contract with GB Railfreight to run four daily rail services between London and Scotland during December.
GB Railfreight will take over the mail trains from its larger rival EWS, which claimed last year that Royal Mail's withdrawal had forced it to shed 500 jobs in a restructuring.

GB Railfreight has the contract until March 2006, with an option of a 12 month extension, and will operate the service between Willesden, Warrington and Shieldmuir in Scotland.
The Royal Mail's network director, Paul Tolhurst, said: "[The trial service] has shown it has the flexibility to meet our distribution needs at peak times, for example during the busy Christmas period when we handle up to 120 million items a day.
