Hanshin Electric Railway has agreed to a friendly takeover bid by fellow Japanese rail company Hankyu, setting the stage for further confrontation in its long-running battle with shareholder activist Yoshiaki Murakami.
Hanshin, worried by proposals from MandA Consulting that included a majority representation on the board, responded by discussing a merger with Hankyu.
Mr Murakami's interest in the railway company has been broadly criticised by Japan's tabloid press, which was particularly incensed by Mr Murakami's suggestion that the Hanshin Tigers, one of Japan's biggest baseball teams, should be spun off by Hanshin into a separate company.

Hanshin shares rose ¥9, or 1 percent, to close Monday at ¥948, more than the Hankyu offer, while Hankyu gained ¥20, or 3.4 percent, to ¥600.
Hanshin shareholders who do not accept the cash offer, which expires June 19, can swap their stock for 1.4 Hankyu shares on Oct. 1, the company said.
