HealthSouth was incorporated in Delaware on February 22, 1984 as Amcare Inc. by its founder Richard M. Scrushy.
HealthSouth hired an outside law firm to review Scrushy's stock sale, with the firm concluding that the sale and profit loss were not related, although this did not remove the company off the SEC's radar.
On March 20 2003 HealthSouth and it's founder and CEO Richard M. Scrushy were accused by the SEC of an accounting scandal where the company's earnings were falsely inflated by $1.4 billion.

HealthSouth stock plunged in 2003 after the company came under federal investigation and restated its financial results.
In a statement issued Tuesday, HealthSouth CEO Jay Grinney said the company looked forward "to putting the past behind us and moving forward." Scrushy's trial, he said, had no direct impact on the company.

Richard Scrushy, the first CEO to face charges under the Sarbanes-Oxley Act, was acquitted Tuesday of all charges relating to the $2.7-billion US fraud at HealthSouth Corp., the health services company he founded.
Scrushy, who was the former CEO of HealthSouth, had been facing 36 counts of conspiracy, fraud, money laundering, issuing a false corporate report and making false statements to regulators.
Scrushy blamed the accounting wrongdoings entirely on his subordinates at HealthSouth, including the company's five chief financial officers who worked with Scrushy over the years.

A federal judge in Birmingham has thrown out more charges against Richard Scrushy.
Judge Karon Bowdre today dismissed obstruction of justice and also the second of three Sarbanes-Oxley charges against the fired HealthSouth CEO in his corporate fraud trial.
Bowdre said prosecutors had not proved any, "overt acts" of a crime.
