The beings that Immortus transforms into Space Phantoms are any of the beings that happen to wander or otherwise become lost in the dimension of Limbo, a dimension outside of time itself.
Immortus traps such individuals who, due to the very nature of Limbo, soon begin to forget their former lives and change into long-forgotten, ghostly time-beings.
Immortus further conditions them into servants who can perpetuate his schemes and manipulations of historical events.

Immortus is a good villain, the Anti-Chief, and he flatly implies- -as much as he could in those stronger-Code days--that he murdered many slave workers in his diamond mine, the source of much of his wealth.
We learn that Immortus is centuries old, and The Chief's fearful / angry reaction to the knowledge of his involvement is a foreshadowing of The Chief's origin story in four issues' time.

Immortus had mentioned that he had observed the MOE's battles with the Avengers "with amusement" and was joining "for my own purposes." This sort of mysterious talk, in addition to the weird fight that comes later, was explained rather nicely by Englehart in his run.
Unfortunately for him, Immortus is waiting with Atilla the Hun; Rick is captured and sent to the Tower of London in 1760.
This is perhaps why this issue was forgotten until Englehart cleverly recast Immortus as a manipulator whose ends are unclear, rather than an out-and-out villain.
