LucasVarity plc was a UK motor parts manufacturer, created by a merger of Lucas Industries plc and the North American Group Varity Corporation Inc in August 1996.
In 1998 it attempted to attempt to shift its head office to the USA; however, the company suffered an embarrassing defeat in a shareholder vote on its decision to move across the Atlantic, with claims that its directors were looking to cash in on the much higher pay packets available in the US.
When TRW was acquired by Northrop Grumman, LucasVarity and TRW's own automotive group were sold to the Blackstone Group as TRW Automotive.

CLEVELAND - TRW Inc. has an agreement to acquire LucasVarity PLC, a highly coveted British maker of automotive brakes, for $7 billion in cash and executives of the two companies are said to be looking for acquisitions, with Tenneco Co. among their top targets.
TRW and LucasVarity, meantime, already are looking for other auto parts and aerospace companies to buy, and Tenneco is a prime candidate in the automotive sector, according to an industry analyst who met with the companies' executives Thursday.
The combination of TRW and LucasVarity would be the fifth industry merger in 1999, according to Securities Data Co. There were 80 combinations in 1998 for a total value of $11.2 billion.

OPPOSITION grew last night to LucasVarity's plans to decamp to America after three more UK institutions confirmed they would vote against the move and others indicated they were likely to oppose it.
