Madison Dearborn Partners, a private investment firm based in Chicago, said today that the buyout represents a 38 percent premium to what Jefferson Smurfit's shares were trading for on May 1, the last business day before the Irish company announced it had received a takeover offer.
As part of the deal, Madison Dearborn would spin off Jefferson Smurfit's 29.3 percent stake in Chicago-based Smurfit Stone Container Corp., one of the largest U.S. makers of packaging and corrugated containers.
Madison Dearborn chairman John Canning said the acquisition was his firm's fifth and largest in the paper industry.
