Shares of Openwave Systems (OPWV:Nasdaq - commentary - research) were dropping in extra trading Tuesday after the company said it planned to offer $100 million of convertible subordinated notes due 2008.
In Instinet trading after the close, Openwave was falling 32 cents, or 6%, to $4.90.
Openwave plans to use the net proceeds from the offering primarily for additional working capital and other general corporate purposes, including potential acquisitions or strategic investments.

Mobile software provider Openwave's (OPWV:Nasdaq - news - commentary - research - analysis) earnings and revenue warnings Tuesday night drew concern over whether the country is actually ready or even remotely interested in accessing the Internet over wireless devices, say analysts.
The announcement resulted in a sharp drop in Openwave shares, which in recent trading were down $2.67, or 57.3%, to $1.99.
And based on last night's guidance range of $64 million to $71 million, the company is expected to lose about $30 million in net income per quarter, which will take a significant toll on its available cash, which is at $269 million, including the cost of a pending acquisition.

Openwave (Quote, Chart) launched two products Tuesday aimed at providing PC-like Web browsing on IP-based 3G phones in the U.S. Officials announced the release of a content manager, dubbed Openwave Mobile JAM Plus, for Java-enabled phones and color browser support in the Openwave mobile browser 6.1.
While Openwave sources didn't release information on carrier uptake to its content manager, they did announce color browser support is being configured on 35 different wireless phone models from 20 separate manufacturers.
Openwave officials expects the color browser and Java content manager to spur some interest for phone browsing in the coming months and make a case for compelling content over 3G phones, according to Thomas Reardon, Openwave co-chief technology officer.
