PetroCanada through its subsidiary will make a public takeover bid for any and all of the shares of Petrofina Canada Inc. for $120 per share in Canadian currency, or the equivalent in U.S. currency at the time.
This acquisition is made by Petro Canada pursuant to the policy of the government of Canada announced in its national energy program.
Petrofina S.A. has indicated its desire to continue to undertake exploration and development of oil and gas in Canada and intends to remain active in pursuit of investment opportunities.

Concern is growing that native unrest will throw a wrench into expensive future projects in what has become one of Canada's hottest areas for natural gas exploration while governments, eager to increase oil and gas production and revenue, refuse to deal with long-standing native issues.
The protest started when the bandblockaded a PetroCanada pipeline site to draw attention to its concerns about too much oil and gas development and unresolved treaty issues with the federal and provincial governments.
Nadine Barber, a spokeswoman for Anadarko, said her company was surprised by the band's request to pack up and leave, because it had obtained all the necessary permits and had consulted with the band.

PetroCanada is considering the sale of its 38% stake in Syria’s Al-Furat Petroleum Company (AFPC), but has yet to decide whether it will proceed with a sale, a PetroCanada spokeswoman has told MEES.
In November 2003 PetroCanada was awarded a PSC for the 6,762 sq km Block 2 by the Syrian Ministry of Oil (MEES, 24 November 2003).
PetroCanada, which holds a 100% working interest in Block 2, is to drill two exploration wells during the four-year exploration period.

PetroCanada, operators of the Terra Nova FPSO, and engineering contractor Kellogg Brown Root (KBR), have awarded the contract for the ALQ to North Eastern Constructors Limited (NECL) which will use the Bull Arm site to build the ALQ.
Minister Byrne indicated government had been in discussions with PetroCanada in recent months regarding the amount of work that could be captured in the province as part of the planned turnaround for the Terra Nova FPSO in 2006.
The minister pointed out two-thirds of the work to be completed by PetroCanada during the 2006 turnaround will be completed in the province and in addition to the fabrication and assembly of the ALQ, includes all the project management, engineering and procurement for the dry dock work.

PetroCanada is to buy into the US company Marathon Oil that is developing two oil fields in Syria.
"PetroCanada and Marathon Oil have initialed an agreement" to this effect, the economic newspaper Al-Iqtissadiya reported Sunday, quoting the Canadian company's director in Syria, Hisham Yasagi.
"PetroCanada has both the technical know-how and the finance to carry out this contract," Yasagi said, adding that Marathon Oil may still retain a 10 percent stake in the project.

TransCanada and PetroCanada, two of Canada's largest energy companies, have signed a memorandum of understanding (MOU) to develop an LNG facility in Quebec.
The proposed facility would be capable of receiving, storing, and regasifying imported LNG with an average annual send-out capacity of approximately 500 MMcf/d of natural gas.
In the proposed project, TransCanada and PetroCanada will equally share the costs to construct an LNG receiving, storage and re-gasification facility on Gros Cacouna Island, adjacent to the existing harbor.

[Edmonton] The striking members of the Communications, Energy and Paperworkers Union (CEP) Local 501A are in good spirits as the dispute with PetroCanada enters its sixth week.
