Petrofina is a Belgium-based integrated oil company with interests in oil and gas production, refining and marketing, and chemicals, primarily in Europe and the United States.
Petrofina has a spread of refining interests which are located in the United States, Belgium, Italy, the United Kingdom and Angola.
The PetroFina Board of Directors concluded that the terms and conditions of the Exchange Offer proposed by Total were fair and recommended that PetroFina shareholders accept the offer and tender their PetroFina Shares, ADSs, and Warrants, pursuant to the Exchange Offer.

It was offering nine Total shares for two Petrofina shares, in a bid valuing Petrofina shares at 19,482 Belgian francs each.
However, Total chairman Thierry Desmarest denied he had paid too much for Petrofina, stating at a press conference in Brussels that contrary to what may have been written, this was not a case of putting in a higher bid at the last minute.
Petrofina's net profit meanwhile slipped to 10.9 billion Belgian francs in the first half of the year from 11.04 billion a year earlier.
