Publicly held firms select the corporate form not entirely because of its inherent advantages, but rather at least in part because they are channeled into it by regulation and tax laws.
Publicly held corporations have generated significant case law, commentary, and forms that aid interpretation and application and thereby reduce transaction costs as compared with other default rules that are not as widely used and therefore have not generated such devices.
But an open-ended interpretation of this provision to permit publicly held firms to significantly dilute board power would be unwarranted as inconsistent with the statute’s explicit distinction between closely held and publicly held firms and the limitation of contracting flexibility to the former context.

SUMMARY: The law prohibits an individual or publicly held corporation from altering, falsifying, destroying, or concealing a record, document, or tangible object to impede, obstruct, or influence a state investigation into publicly held securities after (1) the investigation begins or (2) a person has reasonable knowledge that an investigation is likely to begin.
The act clarifies which corporations the law includes by replacing the term “publicly held corporation,” which the law does not define, with a definition from the federal Sarbanes-Oxley Act of 2002, upon which the state law was modeled.
Prior law included in the protections all publicly held corporations and their employees, without regard to where the corporations were organized or transacted business or where their employees worked.

Although in most respects, the Act is directly applicable only to publicly held companies, many Sarbanes-Oxley concepts may eventually be brought to bear on privately held companies through state regulation, changes in delivery of accounting and auditing services, adaptation of bank lending covenants, insurance requirements, and court decisions in state law fiduciary duty litigation.
As case law develops, the practices required under Sarbanes may be held up as normative standards even for companies not directly subject to the Act, and failure to observe those standards may be cited by plaintiffs as evidence of breach of duty.
Boards of privately held companies normally are not expected to have the same extensive committee structure as public boards, and the availability of truly independent directors willing to serve on private company boards is considerably less than for public companies.

Similarly, in Marriott Hotel Properties II Ltd. Partnership, the Chancery Court held that a general partner had no affirmative Unocal duty to protect the limited partners in connection with a tender offer by the general partner’s parent in light of the partnership’s specific management, structure and purpose as simply a Marriott hotel financing arm.
The court held that this exception did not permit unilateral amendment with sufficient clarity to meet the interpretation standard quoted above, particularly in light of commercial practice requiring blank check authority to be made explicit. Compare these cases with the corporate cases discussed above.

Privately held companies are called closely held all the time, a prime example being Google; everyone from CNN to WSJ to TheStreet.com has referred to the search engine company as "closely held Google," while the company itself claims to be privately held.
I think what they're trying to get at is that although the company is publicly traded, all shares are owned by a small group of investors who rarely release their holdings.

Although the oversight provisions banning direct loans to officers and directors, imposing certain accounting and auditing procedures, and requiring broad corporate disclosures have received much media attention, the Act also includes a whistleblower provision, with accompanying civil and criminal penalties, that has received little of the scrutiny it deserves.
Section 301 of the Act (15 U.S.C. ยง 78F), which requires publicly traded companies to establish audit committees, further requires such committees to establish procedures for "the confidential, anonymous submission by employees.
