Quintiles will also issue Healtheon/WebMD a warrant to purchase up to 10 million shares of Quintiles common stock at $40 a share, exercisable for four years.
The deal is expected to close in the first or second quarter of the year.
Additionally, Quintiles will pay $100 million in funding over the next year and a half to Healtheon/WebMD for the development of Web-based products and services in the areas of drug development, physician detailing and direct-to-consumer information delivery.
