RJR Nabisco was purchased in 1989 by Kolberg Kravis Roberts in the largest leveraged buyout (LBO) in history.
The RJR Nabisco LBO was, at the time, widely considered to be the pre-emininent example of corporate and executive greed.

During the 1980s and 1990s, the firm was part of a corporation called RJR Nabisco, but Nabisco was spun out of RJR Nabisco in 1999, in part due to pressure from tobacco-related lawsuits.
These articles were later used as the basis of a bestselling book, Barbarians at the Gate: The Fall of RJR Nabisco, and then into a made-for-TV film.

But RJR Nabisco said in its lawsuit that LeBow and Icahn have violated securities law by conspiring to form a group to acquire a controlling interest in RJR Nabisco without disclosing that ambition as they seek shareholder backing.
RJR said that LeBow and Icahn's failure to disclose these intentions as it seeks consent of fellow shareholders for an immediate spinoff of the food company violates federal securities laws that forbid "materially false or incomplete statements" in such a consent solicitation.
