In modern times many corporations are expressly authorized by legislation to act without using a seal, and the decisions of the courts have generally held, at least in modern times, that a corporation was bound by implication in many cases where its acts had not been attested by the corporate seal.
Any member of a corporation may be disfranchised, that is, he may lose his membership in the corporation by acting in such manner as to forfeit his rights under a provision of the by-laws; or he may resign from the corporation by his own voluntary act.

Originally known as Summa Corporation, Howard Hughes Corp. was formed in 1972 when the oil tools business of Hughes Tool Company was floated on the New York Stock Exchange under the Hughes Tool name.
The name "Summa", Latin for "higher", was adopted without the approval of Hughes himself, who preferred to keep his own name on the business and suggested HRH Properties (for Hughes Resorts and Hotels, and also his own initials), but his executives paid no attention.
Summa also owned a wide array of hotels and casinos, primarily in Las Vegas, that constituted the bulk of Summa's business in the 1970's.

To maintain the story's credibility, the Summa Corporation also entered into a business agreement with American Smelting and Refining to process their recovered ore. They even sent a small ship out into the Pacific to collect several thousand pounds of manganese nodules for publicity purposes.

The Summa Corporation had wanted to develop over the majority of the wetlands but their plans were put off due to grueling lawsuits with the Friends.
Under the California Coastal Act, in 1984 the Friends were successful in blocking a land use plan approved by the California Coastal Commission that would have allowed the Summa Corporation to develop all but 172 acres of the remaining open space.
The lawsuit with the Summa Corporation continued for many years until 1989 when Maguire Thomas partners took over the position of developer and drew up a lawsuit settlement which the Friends of Ballona Wetlands felt they could not pass up.
