  Komerční banka - Syndicated loan
Syndicated loans are a special category of loans in which an arranger, or group of arrangers, forms a group of creditors on the basis of a mandate to finance the debtor.
Following the formation of a syndicate of creditors who have agreed to participate under the terms and conditions specified by the arranger, at the end of syndication phase one bank is usually chosen from the group of arrangers to act in the capacity of syndicated loan administrator (agent).
The main characteristic of syndicated loans is their variability, given by the fact that the potential debtor can ask for offers from various arrangers from which he can then choose a concrete solution.

White & Case LLP - Publications - Syndicated Loans Resemble Shared Taxis
After the loan agreement has been concluded, the syndicate character of the loan is most prominent in the administration of the loan: all of the participating banks undertake to comply with majority decisions of the consortium, even if they do not consent to the respective measure as an individual entity.
Syndicated loan agreements are marked by their flexibility, paired with anonymity: the participating banks are usually entitled to transfer their proportion of the loan to a third party without the borrower's consent.
However, since the syndicated loan agreement is, after all, an instance of a loan agreement, it is governed by the provisions of section 497 to 507 of the Commercial Code.

Syndicated loans are a significant source of external funds for non-financial businesses in Australia, accounting on average for one-quarter of their intermediated debt raisings over the past three years.
The decrease in loan spreads suggests that the recent increase in syndicated loan activity is more supply than demand driven, which is consistent with trends evident in other financing markets, such as corporate bonds, whereby a strong supply of funds has led to a narrowing in spreads.

The development of the syndicated loan market has led to a “quiet revolution” in America’s capital market and has allowed the U.S. economy to avoid a damaging credit crunch during the last recession, according to a new study from the Milken Institute.
The study, funded in part by the Loan Syndications and Trading Association (LSTA), offers the first in-depth analysis of this vast and largely unknown market and how it functions, including its value to investors, borrowers and lenders, and a description of the innovations and assets that have originated in it.
“Syndicated loans have proven themselves to be an attractive asset class with low correlations to other assets, low volatility of returns and an attractive risk/return profile compared to many other traditional fixed-income investment categories,” says the report.

If syndicated loans were considered securities, they could be made only if the loan complies with the securities laws, which are significantly more onerous than the requirements of the banking or other laws to which the lenders may be subject.
Syndicate the loan only to sophisticated investors, restrict transfers, and require the consent of the agent bank to approve transferees.
Because a syndicated loan may be treated as a sale of securities, the author counsels parties to structure the transaction in a way that ensures they can get a private placement exemption from registration.

Syndicated loans reside at the most-complex end of the continuum.
Unlike bonds, syndicated loans don't require issuers to undertake the time-consuming and costly process of preparing a public prospectus, notes Don McCarthy, research analyst with the Milken Institute, an economic think tank in Santa Monica, Calif. However, that's not to say that syndicated loans are free.
The art of negotiating a syndicated loan's covenants lies in achieving an acceptable balance between protecting the lender and reducing the cost of the loan on the one hand, and ensuring that the borrower retains ample room to operate on the other.

The syndicated loan agreement we are reading this week sets up a structure under which a number of lenders agree to lend money to a borrower/borrowers.
It is a revolving facility: rather than the borrower borrowing the total amount of the loan on day 1 and repaying that amount at the end of a particular period, the loan is expressed as a facility.
This section describes the loan facility/facilities which the lenders are making available to the borrower(s), and refers to conditions precedent to the borrower being entitled to ask for funds (see Schedule 2 at p 73, and clause 4.4 at p 13) or to the lenders’ obligations to lend (see clause 4.2).
