Telefonica and partners Assicurazioni Generali SpA, Intesa Sanpaolo SpA, Mediobanca SpA and the Benetton family agreed in April to acquire a controlling stake in Telecom Italia for 4.1 billion euros ($5.95 billion).
Brazil's phone regulator had to review the purchase because Telefonica has joint control of the country's biggest mobile- phone company, Vivo Participacoes SA, and Telecom Italia controls the second-biggest, Tim Participacoes SA.
Telefonica shares fell 28 cents, or 1.3 percent, to close at 22.14 euros in Madrid.
