On February 15, 2005, the EC’s highest court, the European Court of Justice (ECJ), affirmed the European Court of First Instance’s (CFI) reversal of a European Commission decision to bar a merger between Tetra Laval and Sidel SA.
The ECJ’s rejection of the Commission’s appeal is widely viewed as evidence that, to be successful, decisions by regulators to block mergers will in the future have to be buttressed with convincing empirical evidence of harm to competition.
In 2002, the appellate court sided with Tetra Laval, leaving the Commission with no choice but to allow the merger to take place in January 2003.

Tetra Laval wanted Sidel to bolster its position in plastic bottle packaging, in which Sidel is a world market leader.
The Tetra Laval-Sidel deal was the fifth merger turned down this year by the EU, including the U.S. deal between General Electric Co. and Honeywell International Inc., rejected on July 3.
Tetra Laval Chairman Goeran Grosskopf said Monday that a rejection of the deal would "have a chilling effect on European industry as a whole and move the Commission further away from the international mainstream of merger policy."

When Swiss-based Tetra Laval Group launched its US$1.8 billion bid for Sidel almost two years ago, regulators blocked the takeover, fearing Tetra would gain too much power in the packaging sector.

THE prospects of the proposed acquisition by Tetra Laval of Sidel emerging unscathed from a European Commission competition review have been knocked by the announcement that Brussels is to launch an in-depth study into the takeover bid.

Swiss-based group Tetra Laval launched a takeover bid for Sidel in March, through its French subsidiary Tetra Laval SA; both Tetra companies belong to the same group as Tetra Pak.

The merger would also strengthen Tetra's dominant position in carton packaging, thereby significantly reducing competition in liquid packaging to the detriment of innovation, choice and competitive prices.
