Given this state of the evidence, I conclude that there is insufficient evidence to reasonably conclude that the Vice President was put on notice as to the hard money component to the media fund during or because of any discussion that may have been held on the topic in the course of the Residence Meetings.

The only two alternatives you seem to explicitly address are: having tactical media funds structurally unconnected to indymedia; or, an interpretation of 'direct democracy' that says each IMC collective must reach consensus on each grant (for example; or each fiscal decision, or each decision involving global indymedia at all).
That's okay if the funds are _meant_ to be media foundations independent of indymedia---although you still need to think about other ways to keep the funds under the original mission and responsive to the community 'at large', and avoid them being taken over by others.
If a group needs funding they should be able to present to their community the work they've accomplished and ask for donations or promise work done on a specific project.
