Ungoliant - Encyclopedia, History, Geography and Biography
In the form Ungoliant the name is technically Sindarin, but is a direct loan from Quenya ungwë liantë: "dark spider"; the strictly Sindarin form being Delduthling "dark terror spider." She is also called "gloomweaver," Wirilomë in Quenya, Gwerlum in Sindarin.
Ungoliant aided Melkor in his attack on the Two Trees of Valinor; she drained the Trees of their sap and poisoned them after Melkor wounded them, and she drained dry the Wells of Varda, so that nothing remained of the Light that was before Sun or Moon, except in the Silmarils of Fëanor.
He refused to give them to the Great Spider to be devoured, for he desired them greatly, and Ungoliant would have slain Melkor in the ensuing battle had not the Balrogs come and saved their master, causing Ungoliant to flee to the Ered Gorgoroth in Beleriand.

Ungoliant was not a corrupted elf, nor was she one of the Maiar, actually it is possible that she was not even a creation of Eru.
Ungoliant was a being of pure darkness, and if you remember before Ea there was no light, but Ungoliant fed upon light, and anything else she could find for that matter.

I think Shelob was Ungoliant's direct offspring and the "last" part meant that all the other direct offspring had died, so that Shelob was the last surviving one.
Also, as it is likely that Ungoliant like Shelob mated with her own offspring, it is realistic to suppose Shelob had considerably over 50% of Ungoliant's genes.

Athena, took pity on her by turning her into a spider (one advantage of being a god is that you don't have to make sense).
I've always assumed that she just liked looking like a repulsively bloated spider, or that it matched her personality so well that it was the easiest form for her to assume.
Similarly, when Ungoliant went over to Melkor in the beginning, she had the shape of a spider forced upon her by Vaire.

Now Ungoliant ravaged Middle-Earth, consuming everything insight, until she eventually settled in the dark valley of Ered Gorgoroth where it is said that she remained until hunger overcame her and she consumed her own bulk, thus ending her days.
