Unocal had a 28 percent interest in an international consortium, led by TOTAL S.A. of France, which was developing a natural gas field in the Andaman Sea off the coast of Myanmar and was constructing a pipeline from this field to Rathaburi, Thailand.

Unocal's exact role was in dispute, but a suit was filed in California in 1996 under the Alien Tort Claims Act of 1789, which allowed foreign litigants to seek damages in U.S. courts for crimes against "the law of nations"—acts of genocide, torture, kidnapping, and slavery.

 UNOCAL
In considering Unocal's motion for summary judgment, the federal district court found that Unocal was in fact aware of the forced labor, and also benefited from its practice.
To this, Unocal argued that any forced labor or other human rights violations that may have occurred were perpetrated by soldiers of the Burmese military, not employees of Unocal, and therefore Unocal should not bear any financial responsibility for the violations.
Thus, ILRF argued that Unocal was jointly and severally liable for the acts of the military regime as the military security forces were acting as an agent for Unocal.

As the Unocal human rights trial gets set to start, a key legal issue will be whether the plaintiffs can pierce the corporate veil of Unocal's subsidiaries to hold the parent corporation liable.
First, the corporate law doctrine known as limited liability insulates shareholders of a corporation - including a parent corporation - from personal liability for debts incurred or torts committed by the corporation.
Because there apparently are no allegations that the parent corporation was directly involved, the limited liability rule would protect Unocal itself from liability for any acts committed by agents of its subsidiaries.
