Vickers Shipbuilding and Engineering, Ltd (VSEL) was a shipbuilding company based at Barrow-in-Furness, Cumbria in northwest England that builds warships and armaments.
In 1994 VSEL was subject to two takeover proposals, one from GEC and another from British Aerospace (BAe).
VSEL was willing to participate in a merger with a larger company to reduce its exposure to cycles in warship production, particularly following the "Options for Change" defence review following the end of the Cold War.

 DND/CF : News Release : Submarine Contracts Signed
During today’s event at the VSEL shipyard, a Memorandum of Understanding addressing the unique aspects of this arrangement was signed between Britain’s Ministry of Defence and DND.
The other contract, with VSEL, is for the provision of initial equipment spares and the training of Canadian crews.
VSEL will provide about $150 million in direct and indirect industrial benefits in Canada.

Integral to VSEL's prime contracting approach was the subcontracting of the construction and basic outfitting of the hull to Kvaerner Govan Ltd (KGL) in Glasgow, an experienced mercantile shipbuilder employing modern and efficient construction practices.
The ship was signed over to VSEL on 25 November, and berthed alongside in Buccleath Dock at Barrow-in-Furness on 28 November for the installation, outfitting and setting-to-work of those features required to make the vessel fit for military purpose.

The aim of the "Citizens' Inspection" was to "identify and inspect the development of weapons of mass destruction by VSEL and the British government".
The group believe that "such weapons - with their huge waste of resources, and with the threat they represent to life - are a crime against humanity, especially the world's poor".
