The key to the rescue plan is a proposal by MacDowell, the man who redeveloped downtown Waltham, to build 300 market-rate apartments on a parking lot at the hospital.
In exchange, MacDowell, who was born in the Waltham hospital, would pay about $8.5 million in all - the most contentious piece being $2.5 million, which would cover CareGroup's operating losses in Deaconess-Waltham over the next two months while the hospital develops a blueprint for the future.
