Zilog - Wikipedia, the free encyclopedia
Zilog, often seen as ZiLOG, is a manufacturer of 8-bit CPUs, and is most famous for its Intel 8080-compatible Z80 series.
Zilog was incorporated in California in 1974 by Federico Faggin, who left Intel after working on the 8080, and the Z80 was a vast improvement over it (it was faster, etc.).
After the Z80 Zilog introduced 16-bit and 32-bit processors, but these were not particularly successful, and the company refocused on the microcontroller market, producing both basic CPUs and application-specific integrated circuits/standard products (ASICs/ASSPs) built around a CPU core.

98cv20420 98cv00271 Lawrence et al v Zilog Inc et al - 11/6/98 First Amended Complaint
Zilog's management knew that nearly 70-80% of the data communications business was for PC based modems and that this business was moving towards a controller-less design, thereby eliminating the need for Zilog chips.
In light of Zilog's imminent loss of the majority of its datacom business due to its primary customer's adoption of controller-less solutions, and Zilog's inability to research and develop higher functioning chips for its remaining datacom customers, it would be impossible for defendants to fulfill their representations to the financial community.
Zilog could no longer hide the devastating impact it was suffering due to the loss of business from Lucent and other customers who had switched to controller-less solutions and customers demanding higher functionality and performance from controller chips which Zilog could not provide.

Zilog Z80 - Wikipedia, the free encyclopedia
In recent decades Zilog has concentrated on the ever-growing market for embedded systems, and the most recent Z80-related microcontroller family, the 8/16/24-bit eZ80, a fast Z80 with a linear 16 MB address range has been successful.
ZiLOG published the opcodes and related mnemonics for the intended functions, but did not document the fact that every opcode that allowed manipulation of the H and L registers was equally valid for the 8 bit portions of the IX and IY registers.
Zilog's ill-fated NMOS Z800 and CMOS Z280 were quite fast Z80-implementations (before the HD64180 / Z180) with a 24 MB paged MMU address space; they added many orthogonalizations and addressing modes to the Z80 instruction set, but were too complex and mini-computer inspired to be a natural choice for most embedded applications.

Zilog executives had decided new tactics were needed to elevate the company's stock price, and investment bank Lehman Brothers was hired four months ago to find new options for Zilog, whether through alliances, refinancing or outright mergers.
Zilog's strength was in generating steady cash flow, he said, but the stock market was only interested in seeing "skyrocketing growth," something Zilog couldn't provide.

Lawrence v. Zilog, Inc. - 1/23/98 Class Action Complaint
Zilog piggy-backed its poor second quarter results with the news of the Merger in order to maintain, and in fact increase, the stock price and to prevent a sell-off similar to what occurred after the announcement of first quarter results in April.
Zilog was under no such obligation and, in any event, had a duty to inform its shareholders of a material change in what it had earlier proclaimed to be a definitive Agreement contingent only upon shareholder approval and securing adequate financing.
Zilog had over-shipped product to many of its major customers knowing that by year end orders would slow, but hoping that by the time earnings and income were impacted, the Merger would have been consummated.

Made by Zilog, it used a "reverse" Intel 8080 assembler set but was for all practical purposes a better mousetrap and the world beat a path to Zilog's door.
The subsequent offerings from Zilog, the Z800 and Z8000 were directly competitive to the Intel 8085 and 8086; we all know who won that war, especially since you probably never have heard of the Z800 or Z8000.
That CPU was the standard of the 70's and 80's and had the CPU world at its feet until Intel brought out the 8085 and 8086 series of processors.

Zilog Z800 - Wikipedia, the free encyclopedia
The Zilog Z800 was a 16-bit microprocessor designed by Zilog to be released in 1985.
It was instruction compatible with their existing Z80, and differed primarily in having larger registers, being able to address more memory, and running at higher speeds.
However Zilog essentially ignored the Z800 in favour of their 32-bit Z80,000 and it appears the Z800 never entered production.
